User Agreement Software License and Service Agreement
Important Reminder
JoyVision Technology Co., Ltd. (hereinafter referred to as “JoyVision Technology”) hereby reminds all users to read and fully understand the Software License and Service Agreement (hereinafter referred to as the “Agreement”). Users should carefully read and fully understand the terms of this Agreement, especially those related to the exemption or limitation of JoyVision Technology’s liability, dispute resolution, and applicable laws. Terms related to the exemption or limitation of liability are highlighted in bold; please read them carefully. After carefully reading this Agreement, please decide whether you agree to accept the terms listed herein (minors should read this Agreement with their legal guardians). By downloading, installing, and using this software or opening and logging into your account, you accept the terms of this Agreement and are legally bound by them.
JoyVision Technology reserves the right to modify this Agreement. Any modified terms will be posted on the official website or provided with the software, and the new terms will take effect from the date of posting. Users can download and reinstall the software or review the revised terms on the website. If you do not accept the revised terms of this Agreement, please immediately stop using the “JoyVision Technology” software and services provided by JoyVision Technology. By continuing to use the “JoyVision Technology” software and services provided by JoyVision Technology, the user accepts the revised terms of this Agreement.
1. General Provisions
1.1 This Agreement is an agreement reached between you (hereinafter referred to as “User”) and JoyVision Technology and its operational partners (hereinafter referred to as “Partners”) regarding the download, installation, and use of “JoyVision Technology” software (hereinafter referred to as the “Software”), as well as the terms related to using JoyVision Technology services.
1.2 The Software and services are provided by JoyVision Technology for installation on (including but not limited to) smart mobile devices, offering services such as device pairing and operation of JoyVision Technology products to users using the device.
1.3 The rights to the Software and services owned and operated by JoyVision Technology belong to JoyVision Technology.
2. Scope of Software License
2.1 JoyVision Technology grants users a personal, non-transferable, and non-exclusive license to use the Software without sublicensing.
2.2 Users may install, use, display, and run the Software on a single mobile terminal device for non-commercial purposes. However, users must not install, use, or run the Software for any commercial operation. Users must not copy, alter, or modify any data stored in the Software, any data released to any terminal device memory during the execution of the Software, or any data generated during the interaction between the client and server during the execution of the Software. Users must not operate the Software through other software or create any derivatives of the Software in any form, including but not limited to plugins, robots, or accessing the Software and related systems through unauthorized third-party tools/services. If you must commercially sell, copy, or distribute the Software, such as software pre-installation and bundling, you must obtain prior written authorization and permission from JoyVision Technology.
2.3 Without JoyVision Technology’s permission, users must not install this Software on other terminal devices without explicit permission from JoyVision Technology.
2.4 Users may make a copy of the Software for backup purposes solely for using the Software and services. All backup copies must include the copyright information provided with the original Software.
2.5 Unless explicitly authorized by this Agreement, JoyVision Technology does not grant users any other rights. If users intend to exercise any other rights, they should obtain prior written consent from JoyVision Technology.
3. Software Acquisition, Installation, and Upgrade
3.1 Users should download and install the Software from the website or in the manner specified by JoyVision Technology. Please be careful not to download the Software from unofficial websites to prevent mobile devices from being infected by malicious programs that may damage user data and obtain confidential user information. If you obtain the Software or an installation program with the same name as the Software from an unauthorized third party, JoyVision Technology cannot guarantee the normal functionality of such software and is not responsible for any losses incurred.
3.2 Users must choose the software version that matches the terminal device to be installed. Otherwise, any software issues, device issues, or damages caused by using incompatible software versions on the device model shall be solely borne by the user.
4. Usage Specifications
4.1 Users may use the Software and services according to this Agreement and relevant laws. Users must not engage in the following behaviors:
• 4.1.1 Delete any copyright information from the Software and other copies, or modify, delete, or bypass any technical measures set up in the Software to protect intellectual property rights;
• 4.1.2 Perform reverse engineering of the Software, such as disassembling, decompiling, or other attempts to obtain the source code of the Software;
• 4.1.3 Add, delete, or change the functions or operation effects of the Software by modifying or forging instructions and data during the execution of the Software, or operate or publicly spread software or methods for the above purposes, regardless of whether such behavior is for commercial purposes;
• 4.1.4 Engage in any behavior that damages network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts; unauthorized access to public networks or other people’s operating systems, and deleting, modifying, or adding any saved data; unauthorized attempts to detect, scan, or test the Software system or network vulnerabilities, or perform other actions to damage network security; attempting to interfere with or disrupt the normal operation of the Software system or website, intentionally spreading malicious programs or viruses, or engaging in other actions that disrupt or interfere with normal network information services; forging the name or part of the name of a TCP/IP data packet;
• 4.1.5 Log in or use the Software and services through third-party compatible software or systems that are not developed, authorized, or approved by JoyVision Technology, or produce, publish, or disseminate the aforementioned tools;
• 4.1.6 Without JoyVision Technology’s written consent, users shall not operate on the Software or the data contained therein, including but not limited to: using, leasing, copying, modifying, linking, reproducing, compiling, publishing, publishing, or establishing mirror sites of the Software in an unauthorized manner, or developing related derivative products, works, services, plug-ins, robots, compatible or interconnected;
• 4.1.7 Use the Software to publish, transmit, broadcast, or store content that violates local laws and regulations;
• 4.1.8 Use the Software to publish, transmit, broadcast, or store any content that infringes on the legitimate rights and interests of others, such as intellectual property rights and trade secrets;
• 4.1.9 Use the Software to publish, transmit, or disseminate advertising information or spam in bulk;
• 4.1.10 Use JoyVision Technology to provide software and other services in any illegal manner, for any illegal purpose, or in any manner inconsistent with the licensed use under this Agreement;
4.2 Information Publishing Specifications
• 4.2.1 You may use the Software to publish content you originally created or are authorized to publish, such as opinions, data, text, information, usernames, images, photos, personal data, audio/video files, and links. You must ensure that you have the intellectual property rights or have obtained legal authorization to use the information you upload, and that your use of the Software and services does not infringe any legitimate rights or interests of any third party.
• 4.2.2 When using the Software, users must comply with local laws and regulations.
• 4.2.3 You must not use the Software for the following activities, including but not limited to:
• 4.2.3.1 Producing, copying, publishing, disseminating, or storing content that violates local laws and regulations;
• 4.2.3.2 Publishing, transmitting, broadcasting, or storing any content that infringes on the legitimate rights and interests of others, such as reputation rights, personality rights, intellectual property rights, and trade secrets;
• 4.2.3.3 Falsifying facts or concealing the truth, misleading or deceiving others;
• 4.2.3.4 Publishing, transmitting, or disseminating advertising information or spam;
• 4.2.3.5 Engaging in any behavior that violates local laws and regulations.
• 4.2.4 Without JoyVision Technology’s permission, you must not engage in any commercial activity within the Software, such as advertising and selling goods.
4.3 You understand and agree:
• 4.3.1 JoyVision Technology will determine whether the user is suspected of violating the above usage specifications and, based on such determination, suspend or terminate the license granted to you or take other restrictive measures that may be taken under this Agreement;
• 4.3.2 JoyVision Technology will directly delete any information published by the user that is suspected of being illegal or infringing upon the legitimate rights of others or violating this Agreement during the use of the licensed Software;
5. Service Risks and Disclaimer
5.1 Users must purchase the equipment required for internet access and the value-added telecommunication services used by mobile terminal devices and bear the telecommunication fees, data fees, and related fees charged by third parties (including but not limited to telecommunication and mobile communication providers) due to accessing the internet. If value-added telecommunication services are required, it is recommended that you confirm the relevant costs with your telecommunication and mobile communication provider.
5.2 JoyVision Technology will not be liable for any direct or indirect damage or loss caused by an accidental, network, communication line, mobile terminal equipment failure, etc., during use.
5.3 Like most other internet software, this Software may be affected by various factors, including but not limited to user, network service quality, and social environment factors, and may also be affected by various security issues, such as the use of user data by others in real life causing interference; the other software downloaded and installed by the user or the websites accessed by the user contain viruses such as “Trojan horses,” threatening the information and data security of the user terminal device, thereby affecting the normal use of the Software. Users should strengthen data security and awareness of protecting user information and strengthen password protection to avoid losses and interference.
5.4 When users use this Software or request specific services from JoyVision Technology, the Software may need support from third-party systems or software. The result of the use or access will be provided by the third party. JoyVision Technology does not guarantee the safety, accuracy, and effectiveness of the results obtained through the support of the said system or software, and JoyVision Technology will not assume any other uncertain risks; if any dispute arises or damage is caused thereby, JoyVision Technology shall not be held responsible.
5.5 JoyVision Technology reminds users that to protect the company’s business development and adjustment rights, JoyVision Technology reserves the right to modify or suspend services at any time without prior notice to users and is not liable to users or any third party.
5.6 Except as explicitly required by laws and regulations, we will do our best to ensure the safety, effectiveness, accuracy, and reliability of the Software and the technology and information involved; however, due to current technical limitations, users understand that JoyVision Technology cannot make any guarantees.
5.7 Users should be fully responsible for any personal injury or incidental or indirect economic losses, including but not limited to loss of profits, data loss, and business interruption, or any other commercial losses or compensation claims related to:
• 5.7.1 Use or non-use of the licensed Software;
• 5.7.2 Unauthorized use of the Software or modification of user data by third parties;
• 5.7.3 Costs and losses incurred by the user during the use of the Software;
• 5.7.4 Misunderstanding by Software users;
• 5.7.5 Other losses related to the Software, not due to JoyVision Technology.
5.8 Regarding actions taken between users through this Software, the liability for any personal injury or economic loss caused or possibly caused by misleading or deceptive actions should be borne by law.
6. Statement on Intellectual Property Rights
6.1 JoyVision Technology is the holder of intellectual property rights of this Software. All intellectual property rights related to the Software, such as copyrights, trademarks, patents, trade secrets, and all related information (including but not limited to text, pictures, audio, video, graphics, interface design, layout, data, or electronic documents, etc.), are protected by the laws and regulations of the region where you currently reside and relevant international treaties. JoyVision Technology enjoys the above intellectual property rights.
6.2 Without the prior written consent of JoyVision Technology, users must not independently use or transfer any of the above intellectual property rights for any commercial or non-commercial purposes, nor allow any third party to do so. JoyVision Technology reserves the right to pursue legal action for such behavior.
7. Amendments
7.1 JoyVision Technology reserves the right to modify the terms of this Agreement as necessary. Any such modified terms will be posted on the relevant webpage. If users do not agree with the modified terms, they should discontinue the service. Users continuing to use the service signifies their acceptance of the modified terms.
8. Miscellaneous
8.1 There may be separate agreements and relevant business rules for specific services of this Software (hereinafter collectively referred to as “Separate Agreements”). Therefore, please read and agree to the relevant Separate Agreements before using such specific services.
8.2 This Agreement shall take effect on June 15, 2024.
8.3 The titles of all terms of this Agreement are for reference only and have no practical meaning; they cannot be used to interpret the meaning of this Agreement.
8.4 If any term of this Agreement is invalid or unenforceable for any reason, the remaining terms of this Agreement shall remain fully effective and binding on both parties.
